CLOSING ON SALE OF BUSINESS
Lawyers at GWO recently assisted a client in a major acquisition. The client was an officer of a foreign corporation and wanted to acquire the business. GWO was able, with little notice, to create a new corporation for purposes of acquiring the existing business, create documents relating to the management and internal ownership of the new business, prepare an escrow agreement and agreements with three (3) separate vendors to maintain client relations after the sale. The closing occurred a week prior to the anticipated date of closing.
GWO WINS MAJOR COURT VICTORY FOR LOCAL EMERGENCY RESPONSE CONTRACTOR
GWO recently won a major victory for a local emergency response contractor in a case involving disaster remediation at the Environmental Protection Agency Headquarters Building on the National Mall. As a result of torrential rains in Washington, D.C. over the weekend of June 24-25, 2006, the EPA Headquarters Building at 14th and Constitution on the Mall flooded, with up to four feet of water in some parts of the lower level of the building. Begal Enterprises was called in to perform the cleanup, did an award-winning job, but was unable to get paid. After a one-week trial in the Circuit Court for Montgomery County, GWO was able to secure a court decision in the amount of approximately $2.2 million in favor of the client, plus an award of contractual interest of almost $1 million, against the defendant government contractors that retained the client to do the work.
